Check-Cap Completes Its MBody AI Merger and Closes a $10m Share Sale, Trading on Nasdaq as MBAI

The company said the business combination closed on August 26 and that it sold 1,538,462 ordinary shares at $6.50 apiece. Former MBody AI holders hold about 81% of the shares outstanding, as restricted securities.

Check-Cap Ltd. said on Friday morning that it has completed its business combination with MBody AI Corp. and closed a $10m underwritten public offering, leaving the enterprise robotics software business listed on Nasdaq. The announcement was issued through GlobeNewswire at 08:35 ET on August 28, 2026.

According to the release, the business combination between Check-Cap Ltd. and MBody AI Corp. closed on August 26, 2026. The shares issued to former MBody AI Corp. shareholders were issued in an exempt transaction and are restricted securities. The offering itself was made under a registration statement on Form F-1, File No. 333-297704, which the release said was declared effective on August 25, 2026.

The new listing

The combined company operates as MBody AI Ltd. and trades on the Nasdaq Capital Market under the ticker MBAI, with CUSIP M6S83C106. The release said the name change was approved by shareholders and registered with the Israeli Companies Registrar.

The concurrent offering comprised 1,538,462 ordinary shares priced at $6.50 each, for gross proceeds of $10.0m. Northland Capital Markets acted as sole book-runner. Underwriters hold a 30-day option to purchase up to a further 230,769 shares, equivalent to 15% of the base deal.

One detail is worth drawing out for readers who follow small-cap financings: the company said no warrants, preferred shares or convertible securities were issued. Straight ordinary-share raises without an attached warrant are the exception rather than the rule at this size. The release quantified gross proceeds only; it refers to net proceeds without stating what they are after underwriting discounts and expenses.

Ownership and share count

The company reported approximately 15,293,552 ordinary shares outstanding following the transactions, excluding any shares issued if the underwriters exercise their option. Of those, 12,379,581 - about 81% - are held by former MBody AI Corp. shareholders. The release describes those shares as restricted securities, issued in an exempt transaction, and says separately that a majority of them are also subject to lock-up agreements entered into in connection with the offering. Those are two different constraints and the release does not merge them: it gives no lock-up term, expiry date or release schedule, and it does not say what share of the 12,379,581 the lock-ups cover beyond that it is a majority. On the release alone, the duration for which any of this stock is contractually barred from trading cannot be established.

What the company does

MBody AI describes itself as operating a hardware-agnostic enterprise robotics platform that deploys and manages autonomous robot fleets, with a focus on hospitality and gaming operators. Its product, the MBody AI Orchestrator, is presented as managing mixed fleets of robots from different manufacturers across multiple sites and use cases.

The release says the company sells under long-term subscription agreements and that it counts leading Fortune 500 operators among its customers. Those characterisations are the company's own. No customer names, contract values, subscription counts or revenue figures were disclosed, and Frontier Tech Wire has not independently verified them. They should be read as unverified company claims.

Net proceeds from the offering are earmarked for the deployment of additional robots with enterprise customers, working capital and general corporate purposes, according to the release.

Management

John Fowler serves as chief executive officer of the combined company. David Lontini, formerly chairman of Check-Cap, continues as a director.

Fowler said in the release: "We wanted an ordinary-share-only offering, and that's what our underwriter delivered." He added that the company enters the public markets with no debt, no preferred shares and no convertible securities - a statement about its own capital structure that the release does not accompany with a balance sheet.

Lontini, addressing the position of former Check-Cap holders, said: "They now hold shares in a company that is selling into one of the fastest-growing areas of the technology economy."

What was not in the release

The announcement contains no historical or forecast financial information for the robotics business - no revenue, gross margin, cash burn or backlog. It also gives no pro forma cash balance following the raise. Investors examining the company will need the Form F-1 registration statement and subsequent periodic filings for any of that; the release is a transaction and listing announcement, not a financial disclosure.

For context on the tape, small caps were modestly higher in the last completed session: the Russell 2000 closed Thursday, August 27 at 3,014.34, up 8.44 points or 0.3%, while the Nasdaq composite closed at 26,541.35, up 411.16 points or 1.6%, according to the Associated Press market wrap.
