Semtech Is Selling Its Cellular Module Business For $62 Million. The Release Does Not Say How Big It Is.
Semtech Corporation said on Thursday, Aug. 13, that it had entered into a definitive agreement to sell its cellular module business to Compal Electronics, Inc. for $62 million in cash, subject to customary adjustments. The announcement went out over Business Wire before the U.S. market opened that morning, under a Camarillo, Calif. dateline, and identifies both parties by their listings: Semtech on Nasdaq under SMTC, Compal on the Taiwan Stock Exchange under stock code 2324, which is the code Compal itself carries on the cover of its own annual reports. The release states that the transaction has been approved by both Semtech's and Compal's board of directors.
The scope described is broad but generic. According to the release, Compal will acquire "substantially all of the assets and operations comprising Semtech's cellular module business, including its associated intellectual property, customer relationships, and personnel." What the release does not contain is the set of numbers that would let a reader size the thing being sold: it gives no revenue for the module business, no operating profit or loss, no expected book gain or loss on the sale, no headcount transferring with the personnel, and no statement of how the unit will be presented in Semtech's accounts between signing and closing.
The filing behind the release is thin. This article was unable to retrieve the 8-K document itself from EDGAR, so what follows comes from StockTitan's rendering of the filing index for Semtech's Aug. 13 report — the index, not the agreement, and not the aggregator's own AI-written summary of it, which sits separately on the same page. That index shows the report filed under Item 8.01, Other Events, together with Item 9.01, with no Item 1.01 for entry into a material definitive agreement, and it lists the Aug. 13 press release as Exhibit 99.1 alongside cover-page XBRL. No asset purchase agreement appears on that exhibit list. Readers looking for the actual terms — the adjustment mechanics behind "subject to customary adjustments," any indemnity caps, any transition services arrangement — will not find them in what has been made public so far.
The only public ceiling on the unit's size is the segment it sits inside. Semtech's fiscal 2026 results release, filed as Exhibit 99.1 to its earnings 8-K and hosted on EDGAR, puts net sales for the year ended Jan. 25, 2026 at $1,050.0 million. The supplemental table splits that between semiconductor products at $696.1 million — Signal Integrity at $322.6 million and Analog Mixed Signal and Wireless at $373.4 million — and IoT Systems and Connectivity at $353.9 million. In the fiscal first quarter of 2027, ended April 26 and reported May 26, IoT Systems and Connectivity contributed $88.3 million of $291.0 million in total net sales.
That $353.9 million is an upper bound and nothing more, because Semtech is not selling the whole segment. On the May 26 earnings call, as rendered in Investing.com's transcript, chief executive Hong Hou pointed to the newly released AirLink RX400 and EX400 routers as products of that same IoT Systems and Connectivity line, and the Aug. 13 release says nothing about routers or connected services changing hands. Semtech does not publish a split of the segment between modules and everything else in its earnings release, so the module revenue being transferred is some unknown fraction of a line that ran at $89.9 million in the fiscal fourth quarter of 2026 and $88.3 million in the first quarter of 2027.
The comparison the $62 million invites is to the Sierra Wireless deal, and it needs handling with care — not least because the Aug. 13 release does not mention Sierra Wireless anywhere. Semtech's Jan. 12, 2023 release announcing completion of that acquisition describes an all-cash transaction "representing a total enterprise value of approximately US$1.2 billion" at US$31 per share, and says the deal "adds approximately US$100 million of high-margin IoT Cloud services recurring revenues." That same release describes Sierra Wireless as bringing "nearly 30 years of leadership in cellular IoT and a strong and diverse device-to-Cloud IoT solutions portfolio." It does not itemise a module business, a router business and a services business as separate lines, and Semtech has published nothing that would allocate the 2023 purchase price across them. A $62 million sale price is therefore not a mark on the $1.2 billion, and nothing in the public record supports treating it as one.
Semtech framed the sale as narrowing. "This divestiture sharpens our focus on the product portfolio where we have the strongest conviction in growth and industry leadership: data center and LoRa connectivity," said Hou, president and chief executive officer, in the release. "It reflects the broader discipline we have been applying across the portfolio, concentrating our resources and our technology leadership where we believe we can create the most value over time." Those are the only quoted words in the announcement. No Compal executive is quoted, and the release says nothing about what the buyer intends to do with the business.
The closing timetable matters more than it looks. The release says the transaction is expected to close during the fourth quarter of Semtech's 2027 fiscal year, subject to satisfaction or waiver of customary closing conditions including receipt of certain regulatory approvals. Semtech's fiscal 2026 ended Jan. 25, 2026, and its fiscal 2027 first quarter ended April 26, 2026, which places the fiscal fourth quarter at the one ending in late January 2027. On that timetable the module business stays inside Semtech's consolidated results for the quarter the company is about to report, the quarter after that, and at least part of the final quarter of the fiscal year.
That report is imminent. Semtech said on Aug. 3 that it will release fiscal second quarter 2027 results and host its conference call on Tuesday, Aug. 25, at 1:30 p.m. Pacific, 4:30 p.m. Eastern. The guidance that quarter will be measured against was issued on May 26 and calls for net sales of $328.0 million plus or minus $5.0 million, non-GAAP adjusted gross margin of 54.0 percent plus or minus 50 basis points, non-GAAP adjusted operating income of $71.9 million plus or minus $2.3 million, and non-GAAP adjusted diluted earnings per share of $0.61 plus or minus $0.02. Semtech's fiscal second quarter ended in late July, before the agreement was signed, so both the guide and the result cover a period in which the module business was still wholly Semtech's.
One piece of context the Aug. 13 announcement does not supply is that the intent to sell had already been aired. In Investing.com's transcript of the May 26 fiscal first quarter call, Hou is rendered as saying: "We are pleased to report that the divestiture process for our cellular module business is at the final stages. Discussions, which are transition and integration in nature, are progressing well." That is an aggregator's transcript rather than a company-published one, and this article has not corroborated the wording against a second rendering of the call. Taken at face value, it means the August announcement supplied a buyer and a price for a process the chief executive had described from the podium close to three months earlier.
The risks the company itself flags are the ordinary ones for a signed-but-unclosed carve-out, and the release lists them: an event that could give rise to termination of the definitive agreement, failure to satisfy the closing conditions, failure to obtain required regulatory approvals in a timely manner, unexpected delays, the diversion of management's attention, adverse reactions from customers or stockholders, and — inside its general economic risk language — "the impact of tariffs or retaliatory tariffs." The release names no specific regulator and no jurisdiction whose clearance is required, and it does not say whether the parties have agreed an outside termination date. UBS Investment Bank acted as financial advisor to Semtech and O'Melveny & Myers LLP as legal counsel.
For context on the parent, Semtech reported fiscal 2026 net sales of $1,050.0 million, which it described as up 15 percent year over year, against a full-year GAAP net loss of $40.4 million. The most recent reported quarter looked different: GAAP net income of $26.6 million on $291.0 million of net sales, against non-GAAP adjusted net income of $49.4 million, with GAAP gross margin of 52.0 percent and the adjusted figure at 53.0 percent. The question the Aug. 25 report may answer, and the Aug. 13 release did not, is how the module business gets presented from here — whether it is reclassified, what carrying value moves with it, and whether the $62 million lands above or below that value.
